Terms of Service

1. Definitions

• "Software" means AllMy Ledger, our desktop accounting software for Windows, including any updates we provide.
• "Website" means allmy.software, including all pages and content hosted on it.
• "License" means the right to install and use the Software under these terms.
• "License Key" means the unique identifier provided at purchase that activates the Software.

2. About Us

CoinsTax LLC is a limited liability company registered in Washington, USA. We operate under the trade names "AllMy" and "AllMy Ledger".

3. Scope

These terms apply to the Website and the Software only. Our other products (Bitcoin.Tax, Chain Glance, CryptoCPA.Tax) are governed by their own separate terms and privacy policies.

4. Acceptable Use

4.1 Website

You may use the Website to learn about our products and download the Software. You agree not to:

• Scrape, crawl, or collect data from the Website without permission
• Interfere with the Website's operation or security
• Misrepresent your identity or affiliation
• Use the Website in violation of applicable law

4.2 Software

When using the Software, you agree not to:

• Use the Software for any illegal or unauthorized purpose
• Share your License Key with other people
• Circumvent or attempt to bypass licensing mechanisms

5. Software License

5.1 License Grant

When you purchase the Software, we grant you a non-exclusive, non-transferable License to install and use it on computers you personally own or control, for your personal or internal business use.

5.2 Multiple Installations

You may install the Software on multiple personal computers (e.g., desktop and laptop) that you own or use for work, as long as only you use the Software. License Keys are personal and must not be shared.

5.3 License Restrictions

You may not:

• Resell, sublicense, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter proprietary notices, labels, or marks
• Use the Software as a hosted service for third parties

5.4 Key Expiration

License Keys do not expire. The Software will continue to function whether or not you renew updates.

5.5 Distribution

The Software is available through the Microsoft Store and as a direct download from the Website. The Microsoft Store handles license verification for Store purchases. Direct downloads are licensed through a License Key provided at purchase.

6. Purchases and Pricing

6.1 Pricing

The Software is a one-time purchase that includes a period of free updates from the date of purchase. After the initial update period, you may optionally renew updates at the then-current renewal price. The Software continues to work indefinitely whether or not you renew. Current pricing is available on our pricing page.

6.2 Free Trial

The Software offers a free trial through the Microsoft Store with full features. No credit card is required for the trial. After the trial period, you must purchase a License to continue using the Software. Trial details are available on our pricing page.

6.3 Payment Processing

If you purchase through the Microsoft Store, Microsoft handles payment processing under their own terms. If you purchase from the Website, payments are processed by Stripe. By purchasing from the Website, you authorize Stripe to charge your payment method. See Stripe's terms for details.

7. Refunds

7.1 Money-Back Guarantee

We offer a 30-day money-back guarantee from the date of purchase. If you're not satisfied with the Software, contact us via our contact form with your order number, and we'll refund your purchase.

7.2 Refund Process

Refunds are issued to your original payment method within 5–10 business days of approval. You may be asked to verify your order details.

7.3 Renewal Refunds

If you renew updates and change your mind, you may request a refund for the unused portion of the renewal period. Contact us within 30 days of the renewal charge.

8. Updates

Your initial purchase includes a period of updates from the date of purchase. Updates may include bug fixes, new features, and compatibility improvements. After the initial period, updates are optional. You can continue using your current version indefinitely, or renew to receive further updates and new versions.

9. Your Data

9.1 Local Storage

The Software stores all your accounting data locally on your computer. We do not have access to your data, and we do not transmit your financial information to any server.

9.2 Your Responsibility

You are responsible for backing up your data. We recommend regular backups to protect against data loss from hardware failure or other issues.

10. Disclaimer of Warranties

10.1 As-Is Provision

The Software is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 No Guarantee of Performance

We do not warrant that:

• The Software will meet all of your requirements
• The Software will be error-free, uninterrupted, or secure
• Results obtained will be accurate or reliable
• Defects will be corrected

10.3 Not Accounting or Tax Advice

The Software is an accounting tool, not a substitute for professional accounting or tax advice. We do not verify the accuracy of data you enter, and the Software should not be relied upon as the sole basis for tax filings or financial decisions. You are responsible for verifying the accuracy of your financial records and complying with all applicable tax laws. We recommend consulting with a qualified accountant or tax professional.

11. Limitation of Liability

11.1 Excluded Damages

To the maximum extent permitted by law, the Company shall not be liable for:

• Data loss or corruption, including from bugs or software failures
• Lost profits, revenue, or business opportunity
• Third-party claims, including from tax authorities, clients, or other parties
• Indirect, incidental, special, consequential, or punitive damages

11.2 Liability Cap

Our total liability for any claim related to the Software shall not exceed the amount you actually paid us for the Software in the twelve (12) months preceding the claim.

11.3 Exceptions

The above limitations do not apply to:

• Death or personal injury
• Our fraud or willful misconduct
• Our gross negligence
• Liabilities that cannot be limited by law

11.4 Your Responsibility

You are responsible for maintaining backups of your data, ensuring tax compliance, and consulting with professionals. You assume all risk of data loss or inaccuracy.

12. Indemnification

12.1 Your Obligation

You agree to indemnify, defend, and hold harmless the Company, its officers, employees, and agents from any claims, damages, or losses arising from:

• Your misuse of the Software
• Tax failures or disputes (e.g., audits, penalties from tax authorities)
• Claims by third parties (e.g., clients, customers) related to your use of the Software or your accounting records
• Your violation of these terms or applicable law

13. Termination

13.1 License Duration

Your License continues indefinitely as long as you comply with these terms.

13.2 Termination by Us

We may terminate your License if you materially violate these terms. We will provide 30 days' written notice and an opportunity to cure the violation.

13.3 Upon Termination

If your License is terminated, you must:

• Stop using the Software
• Delete all copies from your computers

Termination does not affect your right to access or use your own data files stored on your computer.

13.4 Survival

The following sections survive termination: Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Contact.

14. Intellectual Property

The Software, Website, and all related content — including text, graphics, logos, and code — are owned by the Company and protected by copyright, trademark, and other intellectual property laws. AllMy is a trademark of CoinsTax LLC. Your License does not grant you any ownership rights in the Software.

15. Export Control

The Software is subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree not to export or re-export the Software to any country, entity, or person prohibited by U.S. law, including embargoed countries or sanctioned entities.

16. Third-Party Software

The Software may include open-source or third-party components subject to their own licenses. Attribution and license information are available in the Software's license information section. Your use of these components is governed by their respective licenses.

17. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. We encourage you to review this page periodically. Continued use of the Website or Software after changes are posted constitutes your acceptance of the updated terms. If you don't agree with any changes, please stop using our products.

18. Governing Law

18.1 Jurisdiction

These terms are governed by and construed in accordance with the laws of the state of Washington, USA, without regard to conflict of law principles. Any legal action or proceeding related to these terms shall be exclusively brought in the state or federal courts located in Washington state.

18.2 UK and EU Consumers

If you are a consumer in the United Kingdom or European Economic Area, nothing in these terms affects your mandatory statutory rights under local consumer protection laws. You may also bring legal proceedings in the courts of your country of residence.

19. General Provisions

19.1 Entire Agreement

These terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Software and Website. They supersede any prior agreements or understandings.

19.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 Assignment

You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity without your consent.

19.4 No Waiver

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it later.

19.5 Age Requirement

You must be at least 18 years old to purchase or use the Software. By agreeing to these terms, you represent that you meet this requirement.

19.6 Electronic Communications

By using the Website or purchasing the Software, you consent to receiving communications from us electronically. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
